Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the ERAG platform, websites, APIs, and related services (together, the “Service”), operated by ERAG (“ERAG”, “we”, “us”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

If you do not agree to these Terms, do not use the Service.

ERAG is an enterprise retrieval-augmented-generation platform: it ingests documents you provide, indexes them, and produces answers with citations and access controls. We offer the Service both as a hosted SaaS product and as open-source software you may self-host under its published license. These Terms govern the hosted Service; self-hosted use is governed by the applicable open-source license.

We may add, change, or remove features. We will give reasonable notice of material changes that adversely affect a paid plan you are on.

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your credentials and API keys and for all activity under your account.
• You must be at least the age of majority in your jurisdiction and not barred from using the Service under applicable law.
• Notify us promptly at legal@erag.one of any unauthorized use.

You own your content. Documents, data, and materials you upload or connect (“Customer Data”) remain yours. You grant us a limited license to host, process, index, and transmit Customer Data solely to operate and support the Service for you. We do not sell Customer Data, and we do not use your Customer Data to train foundation models.

You are responsible for having the rights and lawful basis to upload Customer Data and to have it processed by the Service, including any personal data it contains. Our handling of personal data is described in our Privacy Policy.

You agree not to, and not to permit anyone to:

• use the Service to violate any law or infringe anyone's rights;
• upload content you lack the right to use, or that is unlawful, malicious, or harmful;
• attempt to breach access controls, tenancy isolation, or the security of the Service;
• reverse-engineer or resell the hosted Service except as the open-source license expressly permits;
• use the Service to build a competing product by copying non-open-source components; or
• overload, disrupt, or circumvent rate limits, quotas, or usage-based billing.

Paid plans are billed in advance on a recurring basis. Some plans include usage-based charges (for example, storage above your plan allowance and metered AI usage) billed in arrears. Fees are stated exclusive of taxes, which you are responsible for. Except where required by law, fees are non-refundable. You authorize us and our payment processor to charge your payment method for all amounts due. If a charge fails, we may suspend the Service after reasonable notice.

Trials, if offered, convert to a paid plan at the end of the trial unless you cancel beforehand. You can cancel at any time; cancellation takes effect at the end of the current billing period.

The Service integrates with third-party providers (for example, model, storage, email, and payment providers). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services. You are responsible for configuration choices you make, including which model or storage backends you connect.

The Service, excluding Customer Data and open-source components under their own licenses, is owned by ERAG and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the hosted Service during your subscription. Feedback you provide may be used by us without restriction.

Each party may access the other's confidential information. The receiving party will protect it with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully obtained without a duty of confidentiality.

AI output may be wrong. The Service generates answers from your documents and may produce inaccurate, incomplete, or unexpected results. You are responsible for reviewing output before relying on it, especially for legal, financial, medical, or other consequential decisions. The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the liability.

You will defend and indemnify ERAG against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the hosted Service ends and we will, on request within 30 days, make Customer Data available for export before deletion in the ordinary course.

We may update these Terms. If we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws applicable at ERAG's principal place of business, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes informally first; unresolved disputes will be handled by the courts with jurisdiction at that location, unless applicable law grants you rights in your own jurisdiction that cannot be waived.
